SECO ANNOUNCES ITS INTENTION TO FLOAT ON THE MERCATO TELEMATICO AZIONARIO ORGANISED AND MANAGED BY BORSA ITALIANA S.P.A.

Arezzo, 12 April 2021 – SECO S.p.A. (“SECO” or the “Company”) announces its intention to proceed with the listing of its ordinary shares (the “Shares”) on the Mercato Telematico Azionario, organised and managed by Borsa Italiana S.p.A. (the “Listing”), and, should the specific requirements be met, on the STAR segment.

The free float required for the purposes of the Listing will be achieved through an institutional placement (theOffer”) of ordinary shares (the “Shares”) reserved for qualified investors in Italy and the European Economic Area and foreign institutional investors outside of the United States of America, pursuant to Regulation S of the United States Securities Act of 1933, as subsequently amended (the “Securities Act”), and, in the United States of America, limited to Qualified Institutional Buyers pursuant to Rule 144A of the Securities Act, with the exclusion of those countries where the Offer without specific authorization of the relevant authorities, in accordance with applicable laws, or by way of exemption to such provisions.

The Offer will comprise a maximum of 37,773,000 shares, of which:

     (i)         Up to 27,000,000 newly issued shares resulting from a capital increase with the exclusion of pre-emptive rights (theCapital Increase”); and

    (ii)         Up to 10,773,000 existing ordinary shares, provided by the following shareholders of the Company: (a) the co-founders Daniele Conti and Luciano Secciani and their families, through the respective investment vehicles (DSA S.r.l., HSE S.r.l. and HCS S.r.l.); (b) Lomarini & Lomarini Consultant S.a.s. di Lomarini Luciano & C. and SPEM S.r.l.; (c) Fondo Italiano d’Investimento SGR S.p.A., owner of the fund “FITEC” (previously named FII Tech Growth),

In the context of the Offer, DSA S.r.l., HSE S.r.l., HCS S.r.l. and Fondo Italiano d’Investimento SGR S.p.A. will grant the Joint Global Coordinators a Greenshoe option for a maximum of 5,665,950 shares, corresponding to approximately 15.0% of the Offer.

The final structure of the Offer will be determined in proximity to its launch.

As of the date of this announcement, it is expected that, as a result of the Offer, the free float, including the Greenshoe option, will be approximately 40-45% of SECO’s share capital.

Proceeds from the Capital Increase will be used by the Company to support the implementation of its three-year strategic plan, through the consolidation and the growth on the international markets. Such strategy includes the completion of targeted merger and acquisition deals – even relevant in size – aimed at entering new geographical markets, increase the customer base and provide SECO, and the group it leads, with new competences.

Depending upon market conditions and subject to obtaining the required approvals from Borsa Italiana and CONSOB, at the date of this press release it is expected that the Offer may be launched during the second quarter of 2021.

In connection with the Offering, Goldman Sachs International and Mediobanca – Banca di Credito Finanziario S.p.A. will act as Joint Global Coordinators and Joint Bookrunners (the “Joint Global Coordinators”). Mediobanca – Banca di Credito Finanziario S.p.A. will also act as Sponsor for the purposes of the Listing.
